IMPORTANT — READ CAREFULLY: This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (“User,” “you,” or “your”) and FivebalanceUSA.LLC (“Company,” “we,” “us,” or “our”) for the Fivebalance Mental Wellness mobile application, web application, and related software, content, and services (collectively, the “App” or “Service”).

By downloading, installing, accessing, or using the App, you agree to be bound by this EULA. If you do not agree, do not install or use the App.

This EULA works together with our Terms of Service, Privacy Policy, and Disclaimer, which are incorporated by reference:

If there is a conflict between this EULA and the Terms of Service regarding use of the App software itself, this EULA controls for software licensing matters. For account conduct, billing, and platform use, the Terms of Service control.

1. License Grant

Subject to your compliance with this EULA and our other policies, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

solely as permitted by this Agreement and applicable app store rules (Apple App Store, Google Play, Samsung Galaxy Store, or other distribution channels).

We reserve all rights not expressly granted to you.

2. Eligibility

You must be at least 18 years of age to use the App. By using the App, you represent and warrant that you meet this requirement and have the legal capacity to enter into this Agreement.

The App is not intended for children under 18. We do not knowingly collect personal information from minors.

3. Description of the App

Fivebalance is a social wellness platform that helps users set and achieve goals across five life categories: Fitness, Faith, Family, Flair, and Financial. The App may include, without limitation:

Except as expressly permitted by law or this Agreement, you may not:

You may sign in using third-party authentication (e.g., Apple or Google), subject to those providers’ terms and our Privacy Policy.

You may request access, correction, or deletion of personal data we store, or close your account, by contacting support@fivebalance.com · support.fivebalancementalwellness@fivebalance.com, as described in our Privacy Policy.

6. Subscriptions and In-App Purchases

Certain features (including FivebalanceTV) may require a paid subscription (currently $40.00 USD per year, subject to change with notice as permitted by applicable store rules).

Pricing, features, and availability may vary by platform or region.

This is not investment advice. Cryptocurrency and digital assets are risky; you could lose your entire investment.

8. Wellness, Medical, and Mental Health — Not Professional Care

The App is a wellness and self-improvement tool. It is not:

Information in the App, on Fivebalance.com, or on affiliated channels is for informational and wellness purposes only and is not medical diagnosis or treatment.

Do not rely on the App for clinical decisions, medication decisions, or emergency response.

If you are in immediate danger or thinking of harming yourself, call your local emergency number or a crisis line (e.g., 988 in the U.S.).

9. Fivebalance Companion (On-Device AI)

The optional Fivebalance Companion runs on your device, not on Fivebalance servers.

10. HIPAA and Protected Health Information

FivebalanceUSA.LLC is not a HIPAA-covered entity, and the consumer App is not offered as a HIPAA-compliant patient portal or electronic health record.

Consult qualified counsel before using the App in regulated healthcare workflows.

11. Privacy and Data

Your use of the App is subject to our Privacy Policy, including collection of:

Companion conversations are not stored on Fivebalance servers for AI processing.

We use third-party services for hosting, authentication, app store billing, and blockchain transactions. No internet transmission method is 100% secure.

12. User Content

You retain ownership of content you submit. By posting content on the platform, you grant FivebalanceUSA.LLC a license to host, display, and distribute that content within the Service as needed to operate the platform.

You are solely responsible for your content and must not violate others’ rights or applicable law.

13. Intellectual Property

The App, including software, design, articles, wellness programming, FivebalanceTV content, trademarks, and branding, is owned by FivebalanceUSA.LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Unauthorized use of FivebalanceUSA® or other Company marks is prohibited and may result in legal action under U.S. trademark law (15 U.S.C. § 1114).

14. Third-Party Services and Open Source

The App may integrate or rely on third-party services (cloud hosting, authentication, app stores, Solana blockchain, model hosts, and others). Those services are governed by their own terms and policies.

The App may include third-party or open-source components subject to separate license terms, which are not overridden by this EULA except as required by those licenses.

15. Updates and Changes

We may provide updates, patches, or modifications to the App. Some updates may be required for continued use.

We may modify this EULA, the Terms of Service, Privacy Policy, or Disclaimer from time to time. Material changes will be reflected by updating the “Last Updated” date and, where required, providing notice through the App or website. Continued use after changes constitutes acceptance.

16. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIVEBALANCEUSA.LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE APP.

This includes, without limitation, damages related to:

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THIS EULA OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APP OR SUBSCRIPTIONS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless FivebalanceUSA.LLC and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

This license is effective until terminated.

We may suspend or terminate your access at any time for violation of this EULA, the Terms of Service, or for operational, legal, or security reasons.

Upon termination, you must stop using the App and may uninstall it. Sections that by their nature should survive (including intellectual property, disclaimers, limitations of liability, and indemnification) will survive termination.

If you obtained the App through a third-party app store:

You agree to comply with all applicable export control and sanctions laws. You may not use or export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained.

FivebalanceUSA.LLC is a registered U.S. Government Contractor (SAM.gov / eRA Commons). Nothing in this EULA implies federal endorsement of consumer App use.

22. Governing Law and Disputes

This EULA is governed by the laws of the United States and the State in which FivebalanceUSA.LLC is organized or operates, without regard to conflict-of-law principles, except where mandatory consumer protection laws of your country of residence apply.

Any dispute arising from this EULA or the App shall be resolved in the courts or forums specified in our Terms of Service, or otherwise in a competent court of jurisdiction, unless applicable law requires otherwise.

23. Entire Agreement

This EULA, together with the Terms of Service, Privacy Policy, and Disclaimer, constitutes the entire agreement between you and FivebalanceUSA.LLC regarding the App software and supersedes prior understandings on that subject.

If any provision is found unenforceable, the remaining provisions remain in full force.
